Important: Please read these Terms of Service carefully before placing an order or using this website. By accessing adriatic-containers.com or purchasing from us, you agree to be bound by these terms. If you do not agree, please do not use our website or services.

Article 1

Parties & Agreement

These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between Adriatic Containers, a commercial enterprise registered in Bar, Montenegro (hereinafter "Adriatic Containers", "we", "us", or "our"), and you — the individual or legal entity accessing our website, creating an account, or placing an order (hereinafter "you", "Customer", or "Buyer"). By accessing or using adriatic-containers.com, by creating a customer account, by submitting a quote request, or by placing an order, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and by our Privacy Policy, which is incorporated by reference.

If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

This website was developed by CMC Agency (cmc-agency.me), an independent web agency acting as a technical service provider for Adriatic Containers. CMC Agency is not a party to the commercial relationship between Adriatic Containers and its customers.

Article 2

Definitions

For the purposes of these Terms, the following definitions apply:

"Batch"A group of pre-orders for a specific Product, pooled together to fill a single shipping container load and activate dynamic group pricing.
"Batch Capacity"The maximum number of Product units that can be accommodated within a single Batch, as specified on the relevant Product page.
"Threshold"The minimum number of Product units within a Batch that must be ordered before the Batch is confirmed and production/dispatch is triggered.
"Deadline"The closing date and time by which orders for a Batch must be placed, as displayed on the relevant Product page.
"Tier Price"The unit price applicable at a given quantity level within the dynamic pricing structure of a Batch product.
"Affiliate"A registered customer who participates in our referral programme and earns commissions on referred purchases.
"Contract"The binding agreement formed between Adriatic Containers and the Customer upon our acceptance of an Order.
"Force Majeure"Events beyond reasonable control that prevent or delay performance of contractual obligations.
Article 3

Eligibility & Account Registration

3.1 Eligibility Requirements

To use our Website and purchase Products, you must be at least 18 years of age, have the legal capacity to enter into binding contracts under the laws of your jurisdiction, provide accurate and truthful information during registration and ordering, and not be located in a country subject to an embargo or trade restriction that would prohibit you from receiving our Products.

3.2 Account Registration

Placing an order requires you to create a customer account or provide sufficient information to process your order as a guest. By creating an account, you agree to:

  • Provide accurate, current, and complete information at registration
  • Maintain and promptly update your account information to keep it accurate
  • Keep your password confidential and not share it with any third party
  • Notify us immediately if you suspect any unauthorised use of your account
  • Accept responsibility for all activities that occur under your account credentials

3.3 One Account Per Customer

Each individual or legal entity is permitted to maintain one customer account. Creating multiple accounts to circumvent pricing, batch limits, or affiliate restrictions is prohibited and may result in account suspension and order cancellation.

3.4 Account Suspension & Termination

We reserve the right to suspend or terminate your account, with or without notice, if we determine that you have violated these Terms, provided false registration information, engaged in fraudulent activity, or otherwise acted in a manner detrimental to our interests or those of other customers.

Article 4

Products & Product Information

4.1 Product Categories

  • Foldable Modular Containers: Factory-manufactured, insulated, configurable container units designed for use as offices, storage facilities, welfare units, site accommodation, and similar applications.
  • Maritime ISO Containers: Standard-specification ISO freight containers (20ft and 40ft, standard height and high-cube) available as new (one-trip) or grade-A used (wind and water tight).

4.2 Product Descriptions & Images

We make every reasonable effort to ensure that product descriptions, specifications, images, and dimensions displayed on the Website are accurate and up to date. Product images are for illustrative purposes and may not perfectly represent the exact appearance of the delivered product, particularly for used containers where individual condition varies.

4.3 Product Availability

All products are subject to availability. The display of a product on our Website does not constitute a guarantee that the product is immediately available. If a product becomes unavailable after you have placed an Order, we will contact you promptly to offer an alternative, an amended delivery date, or a full refund.

4.4 Custom Configurations

Foldable containers may be ordered with custom configurations including specific RAL colour finishes, additional windows or doors, insulation upgrades, electrical fit-out, and multi-unit joining systems. Custom configurations are agreed and confirmed in writing before production begins. Once a custom configuration has entered production, it cannot be cancelled or refunded unless the product fails to meet the agreed specification.

Article 5

Ordering Process

5.1 Quote Requests

You may request a personalised quotation through our Website contact form, by email, by telephone, or via WhatsApp. A quotation constitutes an invitation to treat and not a binding offer. Quotations are valid for 14 days from the date of issue unless stated otherwise.

5.2 Placing an Order

You may place an order by completing the checkout process on our Website. By clicking the "Place Order" or equivalent button, you are submitting a binding offer to purchase the selected product(s) at the price displayed, subject to these Terms.

5.3 Order Confirmation & Contract Formation

Our Website will display an on-screen order summary upon submission of your order, and we will send an automated email acknowledging receipt. This acknowledgement does not constitute acceptance of your order. A binding contract is formed only when we send you a formal order confirmation email, which will include your order reference number, product details, confirmed price, and estimated delivery timeline.

5.4 Reasons for Order Refusal

We may refuse an order where: the product is no longer available or the batch is full; we are unable to obtain authorisation for your payment; the delivery address is in a region we cannot service; there is an error in the product listing; we have reasonable grounds to suspect fraudulent activity; or you have outstanding unpaid invoices with Adriatic Containers.

5.5 Order Modifications

Once placed, orders may only be modified by mutual written agreement. Modifications after the order has entered preparation or production may incur additional costs or may not be possible.

Article 6

Batch Pre-Order System

Adriatic Containers operates a proprietary batch pre-order system for certain products. This system allows customers to join a group purchase, sharing the cost of a container shipment and benefiting from dynamic pricing that decreases as more units are ordered within the same batch.

6.1 How the Batch System Works

  1. When a batch pre-order product is available, a batch is opened with a specified capacity (maximum units), a threshold (minimum units required), and a deadline (closing date).
  2. Customers place orders individually, each reserving one or more units within the batch.
  3. The unit price automatically adjusts downward as the number of confirmed orders crosses pricing tier thresholds, as displayed on the product page.
  4. Customers pay the price applicable at the time of their order. If the price subsequently drops due to further orders, the difference is automatically refunded.
  5. The batch closes when either the capacity is reached or the deadline passes, whichever occurs first.
  6. If the threshold is met at the time of batch closure, production and dispatch proceed.
  7. If the threshold is not met at the time of batch closure, all orders in that batch are cancelled and full refunds are issued.

6.2 Price Adjustment & Automatic Refunds

You acknowledge that the price you pay at checkout represents the current tier price at the time of your order, and that this price may decrease if additional orders are placed before the batch closes. Any price decrease will result in an automatic refund of the difference to your original payment method within 5 business days of the price tier change.

6.3 Batch Cancellation & Full Refund

If a batch fails to reach the minimum threshold by the deadline, all orders within that batch will be cancelled and full refunds of all amounts paid will be processed within 5 business days of batch cancellation. You will be notified by email.

6.4 Batch Capacity Limits

Each batch has a specified maximum capacity. You may not place multiple separate orders to circumvent per-order quantity limits. We reserve the right to cancel orders that attempt to exploit capacity limits fraudulently.

Key guarantee: If your batch does not reach the minimum threshold — for any reason — you will receive a 100% refund of the amounts you have paid. This is an unconditional guarantee.

Article 7

Pricing & Currency

7.1 Currency

All prices displayed on the Website are in Euro (EUR / €) unless otherwise stated. Where prices are displayed in other currencies for informational purposes, the Euro price shall be definitive.

7.2 Price Inclusions & Exclusions

Unless otherwise specified, quoted prices do not include: Value Added Tax (VAT) or other local taxes in your country of delivery; import duties or customs tariffs applicable in the destination country; last-mile delivery beyond the agreed drop-off point such as crane hire or site positioning; foundation preparation or groundwork; or assembly labour for foldable containers unless explicitly quoted.

7.3 Price Errors

In the event of a pricing error, we will contact you before processing payment to offer you the opportunity to proceed at the correct price or cancel your order. We are under no obligation to fulfil an order at an incorrectly displayed price.

7.4 Price Changes

Prices are subject to change without notice for future orders. The price applicable to your order is the price confirmed in your order confirmation email. Price changes do not affect existing confirmed orders, except as provided under the batch dynamic pricing mechanism (Article 6).

Article 8

Payment Terms

8.1 Payment Methods

  • Bank transfer (SWIFT/SEPA): Our standard and preferred payment method for business orders. Bank details are provided in your order confirmation email.
  • Payment cards: Credit and debit cards accepted through our secure payment processor where available. We do not store card details.

8.2 Standard Payment Terms

  • 50% deposit due upon order confirmation, within 3 business days of receiving your order confirmation email
  • 50% balance due before dispatch — we will contact you with a dispatch notice and invoice for the balance

8.3 Batch Pre-Order Payment

For batch pre-order products, full payment is processed at the time of order placement, at the current tier price displayed. If the price subsequently drops, the difference is refunded to your original payment method within 5 business days.

8.4 Late Payment

Orders for which the deposit is not received within 3 business days of the order confirmation may be cancelled at our discretion. Where orders are placed on separately agreed credit terms, late payment interest may be charged at a rate of 1.5% per month on the outstanding balance, compounding monthly.

8.5 Currency & Exchange Rate

All payments must be made in Euro (EUR). Payments in other currencies are accepted at our discretion at the interbank exchange rate on the date of receipt. Bank charges or currency conversion fees charged by your bank are your responsibility.

8.6 VAT & Tax Obligations

Our prices are stated net of VAT. Customers outside of Montenegro are responsible for declaring and paying any applicable import duties, VAT, or other taxes in their country of residence or delivery. We provide all necessary export documentation upon request.

Article 9

Delivery & Shipping

9.1 Delivery Timeline

Our standard lead time from order confirmation to delivery at your specified address is 3 to 4 weeks. This timeline encompasses container preparation and inspection, export documentation and customs clearance, road or sea freight transit, and last-mile delivery. For batch pre-order products, the delivery timeline begins from the date the batch closes.

Delivery dates communicated to you are estimates. While we make every effort to meet these estimates, they are not guaranteed and we shall not be liable for delays beyond our reasonable control (see Article 19 — Force Majeure).

9.2 Delivery Address

You are responsible for providing an accurate and accessible delivery address at the time of order. The delivery address may be updated before the container is dispatched, subject to any additional cost resulting from a change of destination.

9.3 Site Access Requirements

You are responsible for ensuring that your delivery site is accessible to our delivery vehicle. Our standard delivery vehicles require a minimum clearance width of 4 metres, a minimum vehicle turning radius of approximately 18 metres, a firm surface capable of supporting a vehicle axle load of approximately 26 tonnes, and a level or near-level placement area for the container.

If site access is restricted or below these requirements, you must inform us at the time of order. Failure to disclose access restrictions may result in failed delivery and additional charges.

9.4 Delivery Notification & Receipt

We will contact you or the designated recipient at least 24 hours before the estimated delivery window to confirm the delivery slot. An authorised representative must be present at the delivery address to inspect the container and sign the delivery documentation. If no authorised representative is present, delivery may be rescheduled at your cost.

9.5 Tracking

Upon dispatch, we will provide a tracking link or reference number. We will also send email notifications at key milestones: dispatch, estimated border crossing, and estimated arrival.

9.6 Failed Delivery

If delivery fails due to circumstances attributable to you — including no authorised representative present, incorrect address provided, inaccessible site, failure to clear customs, or refused delivery — you will be responsible for the costs of re-delivery. If the container cannot be delivered after two attempts, we may arrange return of the container to our facility and you will be responsible for all associated costs.

Article 10

Risk & Title

10.1 Transfer of Risk

Risk of loss or damage to the Products transfers to you at the moment of delivery — defined as the point at which the container is placed at the agreed delivery location and the delivery note is signed. Prior to this point, Adriatic Containers bears the risk of loss or damage during transit.

10.2 Transfer of Title

Legal title to the Products remains with Adriatic Containers until full payment of the purchase price has been received in cleared funds. Prior to full payment, you hold the Products as bailee and must keep the Products in satisfactory condition, not sell or encumber them, maintain the Products insured for their full replacement value, and notify us immediately if a third party attempts to claim against or seize the Products.

10.3 Insurance During Transit

We maintain transit insurance for all shipments from our Port of Bar facility to the agreed delivery address. In the event of damage or loss during transit, we will manage the insurance claim on your behalf and arrange either repair, replacement, or refund as appropriate.

Article 11

Inspection & Acceptance

11.1 Pre-Dispatch Inspection

All Products are inspected by our technical team prior to dispatch. You will receive a written inspection report and photographic documentation before your balance payment is requested and before dispatch.

11.2 Delivery Inspection

Upon delivery, you must inspect the Product before signing the delivery note. You should check that the correct product has been delivered, the container is in the condition documented in the pre-dispatch inspection report, there is no visible damage resulting from transit, and all specified configurations are present and functional.

11.3 Noting Transit Damage

Any damage or discrepancy identified at the time of delivery must be noted on the delivery documentation before the delivery driver departs. Failure to note transit damage on the delivery note may prejudice your ability to claim under our transit insurance.

11.4 Post-Delivery Claims

Claims for transit damage or product non-conformity must be submitted to us in writing at info@adriatic-containers.com within 48 hours of delivery. Claims submitted after this period may not be accepted, except where the defect was not reasonably discoverable on delivery inspection.

11.5 Deemed Acceptance

If you sign the delivery note without noting any damage or defects, and you do not submit a claim within 48 hours of delivery, the Products will be deemed to have been delivered in conformity with the contract and accepted by you, subject to any latent defects covered by the warranty.

Article 12

Cancellations, Returns & Refunds

12.1 Cancellation Before Dispatch

You may request cancellation of your order at any time before the container is dispatched from our facility by notifying us in writing at info@adriatic-containers.com. If the order is cancelled before preparation has begun, a full refund of the deposit will be issued. If preparation has begun, we reserve the right to retain a portion of the deposit to cover actual costs incurred. Once production of a custom-configured container has commenced, cancellation is not possible without forfeiture of the deposit.

12.2 Cancellation of Batch Pre-Orders

You may cancel your batch order at any time before the batch closes, subject to a written request. Once the batch has closed and production has been confirmed, cancellation is not possible. If the batch fails to reach its threshold and is cancelled by us, you receive a full refund unconditionally.

12.3 Returns After Delivery

Due to the nature of our products (large industrial goods, custom-prepared and shipped from international origin), we do not accept returns after delivery except where: the delivered product materially fails to conform to the agreed specification; transit damage was correctly noted on the delivery documentation and reported within 48 hours; or a defect covered by the product warranty is confirmed by our technical team.

12.4 Refund Processing

Approved refunds will be processed to the original payment method within 5 to 10 business days. Bank transfer refunds may take additional time depending on the recipient bank. We do not charge fees for processing refunds.

12.5 Right of Withdrawal (EU Consumers)

Under EU Directive 2011/83/EU, EU consumers generally have a right to withdraw from a contract within 14 days without giving a reason. However, this right does not apply to contracts for goods made to the consumer's specifications or clearly personalised (custom configurations). Standard containers may be eligible for the right of withdrawal if the container has not yet been dispatched. The cost of return transport would be your responsibility given the nature and size of our products.

Article 13

Warranty & Product Condition

13.1 New Foldable Containers

New foldable containers carry a 24-month structural warranty from the date of delivery, covering defects in materials and workmanship affecting structural integrity. The warranty does not cover normal wear and tear, damage caused by improper installation or use, damage caused by extreme weather or force majeure, modifications made by the Customer without our written approval, or surface cosmetic issues that do not affect structural integrity.

13.2 Used Shipping Container s

Used (grade-A) shipping container s are supplied with a 6-month wind and water-tight guarantee from the date of delivery. Used containers are supplied "as inspected" — their condition is documented in a pre-dispatch inspection report provided to the Customer before payment of the balance.

13.3 New One-Trip Shipping Container s

New one-trip shipping container s are supplied with a 12-month structural warranty from the date of delivery, covering major structural defects. Standard wear and cosmetic issues are not covered.

13.4 Warranty Claims

To make a warranty claim, you must notify us in writing at info@adriatic-containers.com within the warranty period, provide photographic evidence of the defect, provide your order reference number and delivery date, and allow us or our appointed representative to inspect the product. We will respond to warranty claims within 10 business days of receipt.

Article 14

Affiliate & Referral Programme

14.1 Programme Participation

Registered customers are eligible to participate in our affiliate referral programme. Participation is voluntary and may be revoked by either party at any time.

14.2 Referral Mechanics

Each participating customer receives a unique referral code and URL. When a new customer places an order having arrived via your referral link (tracked by cookie for 30 days), you earn a commission on the net value of that order. The commission rate applicable to your account is displayed in your account dashboard.

14.3 Commission Rates & Calculation

The default commission rate is 5% of the net order value (excluding shipping, taxes, and refunds). Commission is calculated on the final amount paid by the referred customer, after any price-drop refunds. We reserve the right to set different commission rates for individual affiliates and to change the default rate with 30 days' notice to participants.

14.4 Commission Payment

Earned commissions are paid monthly by bank transfer, subject to a minimum payout threshold of €50. Commissions below this threshold will roll over to the following month. You are responsible for declaring and paying any applicable income tax on commission earnings in your country of residence.

14.5 Commission Eligibility

A commission is earned when a new customer places an order through your unique referral link, the referred customer's order is confirmed and not subsequently cancelled or refunded in full, and the referral is verified as legitimate. You may not refer yourself, members of your immediate household, or entities you control.

14.6 Programme Rules & Prohibited Conduct

As an affiliate, you agree not to make misleading or false representations about Adriatic Containers or our products; spam or send unsolicited bulk communications; create fake accounts or fraudulently generate referrals; use paid advertising that impersonates or competes with our own advertising without written consent; or make claims about our products that go beyond what is stated on our Website. Violation of these rules will result in immediate removal from the programme and forfeiture of pending commissions.

14.7 Programme Changes & Termination

We reserve the right to modify or terminate the affiliate programme at any time with 30 days' written notice. In the event of programme termination, all earned and unpaid commissions will be paid out within 60 days of termination.

Article 15

Intellectual Property

15.1 Our Intellectual Property

All content on this Website — including text, images, graphics, logos, icons, video content, data compilations, and software — is the property of Adriatic Containers or its content suppliers and is protected by applicable intellectual property laws. The Website was designed and developed by CMC Agency, with intellectual property rights in the design assigned to or licensed by Adriatic Containers.

15.2 Permitted Use

You are granted a limited, non-exclusive, non-transferable licence to access and use the Website for the purpose of viewing content and placing orders. This licence does not include copying, reproducing, or distributing any Website content without our prior written consent; modifying or creating derivative works based on Website content; using Website content for commercial purposes other than placing orders; or scraping or automated extraction of Website data.

15.3 Multilingual Content

Our website uses WPML to serve content in multiple languages. All translated content remains the intellectual property of Adriatic Containers. Reproduction of translated content without authorisation is equally prohibited.

Article 16

Acceptable Use of the Website

You agree to use this Website only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Website in any way that violates applicable local, national, or international law or regulation
  • Transmit any unsolicited or unauthorised advertising or promotional material
  • Attempt to gain unauthorised access to any part of the Website, server, or network
  • Introduce any viruses, trojan horses, worms, or other malicious or technologically harmful material
  • Conduct any form of systematic data extraction, scraping, or harvesting
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Engage in any activity that could disable, overburden, damage, or impair the Website or servers

We reserve the right to restrict or terminate your access to the Website at any time, with or without notice, if we believe you have violated these acceptable use requirements.

Article 17

Limitation of Liability

17.1 General Limitation

To the maximum extent permitted by applicable law, our total aggregate liability to you in respect of all claims arising out of or in connection with these Terms, your account, or any order — whether in contract, tort, breach of statutory duty, or otherwise — shall not exceed the total amount paid by you for the specific order giving rise to the claim.

17.2 Exclusion of Consequential Loss

To the maximum extent permitted by law, we exclude all liability for loss of profits, revenue, or business; loss of anticipated savings; loss of business opportunity; loss of goodwill or reputation; any indirect, special, or consequential loss; and data loss or corruption. These exclusions apply whether or not such losses were foreseeable.

17.3 Non-Excludable Rights

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; or any liability that cannot be excluded by law.

This limitation of liability applies to all users. If you are a consumer, certain statutory rights may apply in your jurisdiction that cannot be waived by contract. These Terms do not affect those rights.

Article 18

Indemnification

You agree to indemnify, defend, and hold harmless Adriatic Containers, its officers, employees, agents, and service providers (including CMC Agency in its capacity as technical partner) from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in connection with:

  • Your breach of these Terms
  • Your violation of any applicable law or the rights of any third party
  • Your use of the Website in a manner not authorised by these Terms
  • Any content or information you submit to us that causes harm to a third party
  • Your participation in the affiliate programme in violation of Article 14
Article 19

Force Majeure

Neither party shall be liable to the other for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond that party's reasonable control, including without limitation: acts of God, natural disasters, floods, fires, or extreme weather; pandemic, epidemic, or public health emergency; acts of war, terrorism, civil unrest, or government action; port closures, customs delays, or international trade restrictions; industrial action or strikes; failure of third-party logistics providers or shipping lines beyond our reasonable control; or failure of telecommunications or critical infrastructure.

The affected party shall notify the other in writing as soon as reasonably practicable after becoming aware of a force majeure event. If a force majeure event continues for more than 60 days, either party may terminate the affected order(s) by written notice. In such cases, any deposits paid by the Customer for goods not yet shipped will be refunded in full.

Article 20

Governing Law & Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of Montenegro.

For business customers (B2B), the parties irrevocably submit to the exclusive jurisdiction of the courts of Bar, Montenegro for the resolution of any dispute arising under or in connection with these Terms.

For consumer customers (B2C) located in the European Union, the mandatory consumer protection laws of your country of residence may also apply, and you may have the right to bring proceedings in the courts of your country of habitual residence. The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.

Article 21

Dispute Resolution

21.1 Good Faith Resolution

Before commencing any legal proceedings, both parties agree to attempt to resolve any dispute through good faith negotiation. You should first contact us at info@adriatic-containers.com with a clear description of the dispute and your proposed resolution.

21.2 Mediation

If a dispute cannot be resolved through direct negotiation within 30 days, either party may propose mediation. Mediation shall be conducted in English or a mutually agreed language, and the costs shall be shared equally unless otherwise agreed.

21.3 EU Online Dispute Resolution

If you are an EU consumer, you may be entitled to use the European Commission's Online Dispute Resolution (ODR) platform to resolve disputes arising from online purchases. The ODR platform is available at: https://ec.europa.eu/consumers/odr. Our email address for ODR purposes is: info@adriatic-containers.com.

Article 22

Changes to These Terms

We reserve the right to update or modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page, notify registered customers by email at least 14 days before the changes take effect, and post a notice on our Website.

Your continued use of the Website or our services after the effective date of revised Terms constitutes acceptance of the revised Terms. Changes to these Terms will not affect any contracts already in force at the time the changes take effect.

Article 23

Miscellaneous Provisions

23.1 Entire Agreement

These Terms, together with our Privacy Policy, any specific quotation accepted by you, and any order confirmation issued by us, constitute the entire agreement between you and Adriatic Containers and supersede all prior communications, negotiations, or agreements.

23.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable. If modification is not possible, the provision shall be severed and the remaining provisions shall continue in full force and effect.

23.3 Waiver
